1. Parties

2. Object of Services

2.1. The Site provides information regarding digital services (Web Development, Marketing, Branding) provided by Upscale Innovation Group.

2.2. Accessing the Site does not constitute the conclusion of a contract between the User and the Operator. Actual services are rendered solely based on a written Service Agreement or approved Quote.

2.3. Any commercial offer presented on the site is valid only until the date mentioned therein (if applicable) and may be modified without prior notice.

3. Registration & Responsibility

3.1. For certain functionalities (contact forms, newsletter), the User may be asked to provide personal data. The User is responsible for the accuracy of the data provided.

3.2. The Operator reserves the right to ignore or delete inquiries that contain false information or violate these Terms.

4. Intellectual Property Rights

4.3. Client Projects: Upon full payment of the invoices, the intellectual property rights for the deliverables created specifically for the Client (e.g., website, logo) are transferred to the Client, as stipulated in the Service Agreement.

5. Limitation of Liability

5.1. The Site is provided on an “as is” basis. The Operator does not guarantee that the Site or related servers are free of errors or viruses.

5.2. The Operator is not liable for any direct or indirect losses caused by accessing, using, or the malfunctioning of the Site.

5.3. Third Parties: We are not responsible for changes in policies or algorithms of third-party platforms (e.g., Google, Meta, TikTok) that may affect marketing performance.

6. Prices, Payments & Delivery

6.1. Prices for Upscale Innovation Group services are established via personalized offers.

6.2. Terms: Work typically commences after an advance payment (e.g., 50%) is received, with the balance due upon delivery.

6.3. Currency: Invoicing is done in RON or EUR, in compliance with Romanian fiscal laws.

6.4. Timelines: Execution terms are estimates and may vary depending on the complexity of the project and Client feedback speed.

7. Cancellations & Refunds

7.1. Customized services (e.g., Web Design, Strategy) cannot be refunded once execution has started.

7.2. In case of cancellation by the Client before work begins, the Operator may retain a percentage of the advance payment to cover administrative costs.

7.3. Cancellation requests must be sent exclusively in writing to contact@upscaleinnovationgroup.com.

8. Data Protection (GDPR)

8.1. The Operator respects applicable data protection legislation. Details regarding data collection and processing are described in the Privacy Policy available on the Site.

9. Cookies

9.1. The Site uses cookies for optimal operation, analysis, and marketing. Users can manage cookie preferences in their browser settings.

10. Governing Law & Jurisdiction

10.1. These Terms are governed by Romanian law.

10.2. Any dispute shall be settled amicably. If an agreement cannot be reached, competence lies with the courts located at the Operator’s headquarters (Bucharest).
